These Terms & Conditions (“Terms”) govern access to and use of Zakaa Artificial’s website, platform, and AI-powered services (“Services”). By accessing or using Zakaa, you agree to these Terms. If you are using Zakaa on behalf of a business, you confirm that you are authorized to bind that business.
These Terms operate alongside any signed Client Service Agreement, which shall prevail in case of conflict.
1. About Zakaa
Zakaa Artificial is an AI-powered operations platform that helps businesses manage customer conversations, including orders, reservations, and appointments, through messaging channels and integrated dashboards. Zakaa provides its Services on a subscription basis as described in applicable agreements.
2. Eligibility and Authorized Use
You may use Zakaa only if:
- You are legally able to enter into binding agreements
- You use Zakaa for legitimate business purposes
- You comply with all applicable laws and regulations
You agree not to:
- Misuse or abuse the Services
- Attempt to reverse engineer, scrape, or replicate Zakaa systems
- Use Zakaa to build or support competing services
- Interfere with system stability or security
- Upload unlawful, infringing, or harmful content
3. Account Responsibility
Clients are responsible for:
- Maintaining the confidentiality of access credentials
- All activity conducted through their account
- Actions taken by employees, agents, or third parties with access
Zakaa is not responsible for unauthorized access caused by client negligence.
4. Service Availability
Zakaa provides Services on an “as-available” basis. While Zakaa aims to maintain reliable operation:
- Continuous or uninterrupted service is not guaranteed
- Temporary downtime may occur due to maintenance, updates, or external dependencies (including WhatsApp, Telegram, cloud hosting, or AI providers)
Such downtime does not constitute a breach of these Terms.
5. Acceptable Use of AI Services
Zakaa’s AI systems are designed to follow structured logic and business rules. Clients acknowledge that:
- AI responses are automated
- AI may not be error-free
- Human oversight remains the client’s responsibility
Zakaa does not guarantee perfect accuracy, error-free responses, or specific business outcomes resulting from AI interactions.
6. Messaging and Third-Party Platforms
When you connect WhatsApp, Telegram, or other channels, you must comply with the applicable platform policies (including Meta/WhatsApp Business and Telegram terms). You are solely responsible for obtaining necessary approvals, message templates, and opt-ins required by those platforms. Zakaa is not liable for restrictions, bans, or delivery failures imposed by third-party messaging providers.
7. Client Content
You retain ownership of content you upload (e.g. menus, item descriptions, images). You grant Zakaa a limited license to host, display, and process such content solely to provide the Services. You represent that you have the rights to upload and use all content you provide and that it does not violate third-party rights or applicable law.
8. Intellectual Property
All rights, title, and interest in Zakaa’s software, algorithms, AI logic, system architecture, user interface, and analytics and derived data remain the exclusive property of Zakaa Artificial or its licensors.
Clients receive a limited, non-exclusive, non-transferable license to use the Services for internal business purposes only during an active subscription.
9. Data and Privacy
Zakaa’s data practices are governed by our Privacy Policy, which forms part of these Terms. By using Zakaa, you acknowledge and agree to the collection and processing of data as described in the Privacy Policy and any applicable Client Service Agreement.
10. Payments and Subscriptions
Payment terms, pricing, renewals, and cancellations are governed by the applicable subscription plan and any signed Client Service Agreement. Zakaa reserves the right to suspend or terminate Services for non-payment.
11. Suspension and Termination
Zakaa may suspend or terminate access to Services immediately if:
- These Terms are violated
- Payment obligations are not met
- Misuse, abuse, or security risks are detected
- Conduct is deemed harmful to Zakaa, its systems, or reputation
No refunds are provided for suspensions or terminations caused by breach, except where required by law or expressly agreed in writing.
12. Limitation of Liability
To the maximum extent permitted by law:
- Zakaa shall not be liable for indirect, incidental, special, or consequential damages
- Zakaa’s total liability is limited to the amounts paid by the client to Zakaa in the two (2) months preceding the claim
This limitation applies regardless of the legal theory asserted.
13. Indemnification
You agree to indemnify and hold harmless Zakaa Artificial, its founders, and affiliates from claims arising out of:
- Misuse of the Services
- Violation of these Terms
- Violation of applicable law or third-party platform policies
- Content or actions initiated by your customers
14. Modifications to Terms
Zakaa may update these Terms from time to time. Updated Terms will be posted with a revised “Last updated” date. Continued use of the Services constitutes acceptance of the updated Terms.
15. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of Lebanon, unless otherwise specified in a signed agreement. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the competent courts in Lebanon, unless otherwise agreed in writing.
